MSS Xsabo Power Limited v Great Lakes Energy Company NV

The firm represented the respondent in a company law matter concerning an appeal from a decision of the Registrar of Companies. The High Court considered the scope of the Registrar’s powers, amendment of pleadings, and related company proceedings arising from a shareholder dispute.

This matter arose from Company Petition No. 5 of 2021 before the Registrar of Companies, where Great Lakes Energy Company NV challenged the revocation of its shares in MSS Xsabo Power Limited. MSS Xsabo Power Limited appealed against the Registrar’s decision refusing leave to amend its answer to the petition.

The High Court considered whether it had jurisdiction to entertain the appeal under the Companies Act, 2012, and whether the Registrar had properly applied the law on amendment of pleadings. The respondent, represented by Kashillingi, Rugaba & Associates, raised a preliminary objection on jurisdiction, arguing that the application did not properly fall within the relevant statutory provisions.

The Court overruled the preliminary objection and proceeded to consider the amendment issue. It held that the Registrar had erred in rejecting the amendment, finding that the proposed amendment did not introduce a distinct new cause of action or line of defence and that any inconvenience could be addressed through costs.

The Court allowed the appeal, set aside the Registrar’s decision refusing the amendment, and permitted the amendment, with each party bearing its own costs. The case is relevant to company law, shareholder disputes, registrar proceedings, amendment of pleadings, and the relationship between company proceedings and concurrent arbitration.
